1. Purpose of the Development Kit
Kent Display Systems (“KDS”) Development Kits are sold solely for evaluation, research, educational,
testing, development, and prototyping purposes.
Development Kits are not intended for production use, resale, or incorporation into commercial
products without a separate written agreement with KDS.
2. Eligibility to Purchase
Development Kits may be purchased by companies, universities, research organizations, individuals,
or other entities.
3. Kit Contents
Each Development Kit may include, as applicable:
• 10.1″ CHLCD Display
• TCON Board
• Sensor Board
• Sensor FPC
• 39-PIN TCON FPC
• Demo Development Board
• Power Adapter
• USB Cable
• Packaging Materials
• Setup Guide
• Component Documentation
KDS reserves the right to modify kit contents without notice.
4. Evaluation and Prototype Use Only
The Development Kit is intended solely to allow customers to evaluate KDS technology and
determine whether it meets their application requirements.
Purchase of a Development Kit does not authorize commercial manufacturing, commercial
distribution, or production use of KDS technology.
Customers interested in commercial applications or production quantities must contact KDS
separately and may be required to enter into additional licensing, supply, or commercial agreements.
5. Customer Responsibilities
Customer is solely responsible for:
• Evaluating the suitability of the Development Kit for its intended application.
• Testing and validating all performance characteristics.
• Compliance with all applicable laws, regulations, and industry standards.
• Any products, systems, or applications developed using the Development Kit.
6. Prohibited Applications
Development Kits shall not be used in:
• Medical devices
• Life-support systems
• Aerospace applications
• Military or defense systems
• Automotive safety systems
• Nuclear facilities
• Mission-critical applications where failure could result in personal injury, death, or significant
property damage
7. Intellectual Property
All intellectual property rights relating to the Development Kit, including but not limited to hardware
designs, display technology, documentation, software, firmware, trademarks, patents, copyrights, and
trade secrets, remain the exclusive property of KDS.
Purchase of a Development Kit does not transfer any ownership rights to the customer.
8. No License for Commercial Production
Purchase of a Development Kit does not grant any license or right to manufacture, market, distribute,
or sell products utilizing KDS technology.
Any commercial use, manufacturing arrangement, licensing arrangement, or production activity must
be separately negotiated and documented with KDS.
9. Technical Support
Customers may contact sales@kentdisplaysystems.com for technical support related to
Development Kit setup and evaluation.
KDS makes no guarantee regarding response times, support availability, or future support offerings.
10. Warranty Disclaimer
THE DEVELOPMENT KIT IS PROVIDED “AS IS” AND “WITH ALL FAULTS.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KDS DISCLAIMS ALL WARRANTIES, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• PERFORMANCE WARRANTIES
• ACCURACY OR COMPLETENESS OF INFORMATION
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KDS SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM THE
PURCHASE OR USE OF THE DEVELOPMENT KIT.
KDS’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE DEVELOPMENT KIT.
12. Export Compliance
Customer agrees to comply with all applicable U.S. export control laws, regulations, and trade
restrictions.
Customer shall not export, re-export, transfer, or disclose Development Kits or related technical
information in violation of applicable law.
13. Shipping
Shipping availability, costs, and delivery times are subject to change.
Customers outside the United States may be responsible for applicable shipping charges, duties,
taxes, import fees, and customs requirements.
14. Modifications
KDS may update, discontinue, modify, or replace Development Kits or related documentation at any
time without notice.
15. Governing Law
These Terms & Conditions shall be governed by the laws of the State of Ohio, without regard to
conflict-of-law principles.
Any disputes arising from the purchase or use of a Development Kit shall be resolved exclusively in
the state or federal courts located in Ohio.
16. Acceptance
By purchasing, receiving, or using a KDS Development Kit, Customer acknowledges and agrees to
these Terms & Conditions.
